    These Terms of Service ("Terms") govern your access to and use of the services provided by Verado AI ("we", "our", or "us"), a Tucson, AZ-based company providing an AI-powered business operations platform for contractors and home service businesses. By accessing or using our services, you ("Client" or "you") agree to be bound by these Terms.

    1. Description of Services

    Verado AI provides a suite of business operations tools, which may include:

    • A 24/7 AI voice agent that answers calls, qualifies leads, and books appointments.
    • Missed-call text-back (automated SMS).
    • A unified CRM with two-way texting/calling and pipeline tracking.
    • Automated multi-channel follow-up (SMS, email, voicemail drops).
    • Website design and hosting.
    • Reputation management (automated review request campaigns).
    • Social media management and posting.
    • Local SEO and Google Business Profile management.
    • Optional Pay-Per-Click (PPC) advertising management (Google Ads, Meta Ads).

    The specific services provided depend on your selected package tier (e.g., Starter, Pro, Custom/Enterprise). PPC ad spend is billed separately and directly to the Client by the respective ad networks.

    2. Billing, Fees, and Cancellation

    Fees: Our services generally require a one-time setup fee followed by a recurring monthly subscription starting in month two. All fees are non-refundable, including setup fees, unless otherwise specified in writing.

    No Long-Term Contract: Services are provided on a month-to-month basis. There is no long-term contract required.

    Cancellation: You may cancel your subscription at any time by providing written notice. Cancellation will be effective at the end of the current billing cycle.

    3. AI Disclaimers

    Our AI voice agent and automation tools utilize advanced artificial intelligence. However, AI systems may occasionally make errors, misunderstand nuances, or mishandle interactions. Client acknowledges that Verado AI is not a human receptionist. Client is responsible for reviewing AI-handled interactions and ensuring that the use of our AI tools complies with applicable call-recording, telemarketing, and consumer-protection laws (including the TCPA and state-specific consent laws) in their jurisdiction.

    4. Client Responsibilities

    As a Client, you are responsible for:

    • Providing accurate and up-to-date business information.
    • Obtaining all necessary consents from your customers (End Users) for call recording, SMS communications, and data processing.
    • Maintaining compliance with Do-Not-Call (DNC) lists and A2P 10DLC carrier registration requirements.
    • Reviewing and approving marketing content (social posts, review requests, ad campaigns) prior to publication.

    5. Intellectual Property

    Client Assets: Client retains all ownership rights to their business name, logos, customer data, and preexisting content provided to Verado AI.

    Verado AI Technology: Verado AI retains all ownership rights to the underlying platform, AI technology, proprietary workflows, and templates. We grant Client a limited, non-exclusive, non-transferable license to use the services during the term of the agreement.

    6. Third-Party Platforms

    Our services integrate with third-party platforms (e.g., Google, Meta, SMS carriers, hosting providers). Client's use of these integrations is subject to the respective third-party terms of service. Client is responsible for maintaining compliant accounts where required (e.g., Google Ads account, Facebook Business Manager).

    7. Disclaimers and Limitations of Liability

    No Guarantees: While we strive to improve your business operations, Verado AI does not guarantee specific revenue, lead volume, or business outcomes. Testimonials and case studies represent individual experiences and results are not typical or guaranteed.

    "As Is" Service: Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

    Limitation of Liability: To the maximum extent permitted by law, Verado AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the services. Our total liability shall not exceed the amount paid by you to us in the three (3) months preceding the claim.

    8. Term, Termination, and Data Export

    Either party may terminate the agreement at any time. Upon termination, Client's access to the platform and CRM will cease. Client is responsible for exporting their customer data prior to the effective date of termination. Verado AI reserves the right to delete Client data after termination in accordance with our data retention policies.

    9. Dispute Resolution

    These Terms shall be governed by the laws of the State of Arizona. Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Tucson, Arizona, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

    10. Changes to Terms

    We may modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website or notifying you via email. Your continued use of the services after such modifications constitutes your acceptance of the updated Terms.
